Job Purpose

This position is responsible for managing and maintaining the governance and compliance framework for all subsidiary entities, ensuring they operate in accordance with legal requirements, regulatory expectations, and the Corporation’s governance standards under the guidance of the Assistant Corporate Secretary and Corporate Secretary. The role includes maintaining accurate corporate records, coordinating required filings and approvals, supporting subsidiary board and officer appointments, and contributing to the continuous improvement of governance processes across the organization, as well as dealing with confidential information at the parent board level.

This position is also responsible for supporting and managing board, subsidiary, and corporate governance and compliance activities in accordance with applicable securities laws, regulatory requirements, stock exchange obligations, and the Corporation’s governance framework. The position also manages and maintains the governance and compliance framework for subsidiary entities, ensuring alignment with legal requirements, regulatory expectations, and corporate governance standards. In addition, the role contributes to the continuous improvement of board and governance practices, liaises with internal and external stakeholders, mentors more junior team members, and routinely handles highly confidential and sensitive parent‑company board information with professionalism and discretion.

Duties and Responsibilities

Maintain accurate, complete, and audit‑ready corporate, board, committee, and subsidiary records, including minute books, registers, resolutions, organizational charts, and statutory filings.
Serve as administrator for the governance management system (e.g., GEMS), ensuring data integrity, system accuracy, user support, workflow optimization, and readiness for audit and due diligence.
Support director and officer appointments, elections, onboarding, offboarding, and related approvals. Ensures governance, compliance, and orientation requirements are met.

Qualifications

Undergraduate university degree in a relevant discipline is required. Post‑secondary credentials such as a Law Clerk certificate, ICSA/CGI designation, and/or a Canadian or foreign law degree are considered assets.
4+ years of progressive experience in a relevant professional or advisory role.
Working knowledge of Ontario securities law, with experience preparing TSX, OnCorp, SEDI and SEDAR filings
Experience within a Corporate Secretary’s Office of a public Company is preferred.
Experience with board portal platforms (e.g., Diligent) and entity‑management systems (e.g., GEMS) is an asset, along with a commitment to continuous improvement and adopting best practices.

Monitor work performance of crews in such areas as quality and quantity of work, timekeeping, conduct and cost effectiveness. Recommend appropriate corrective actions or feedback and recognition. Deal with behavioural and absenteeism problems, collective agreement issues, apprentice training, work performance and delegation of authority, as required.
Execute annual work program, prepare budget, monitor program status and report progress. Assign appropriate portions of work program to subordinate supervisors. General Accountabilities

Specific Accountabilities

Facility Operations and Maintenance:

Monitor business support organization to ensure compliance to business processes and support data requirements of business (Finance and Quality Assurance); ensure that all service quality indices are met by subordinate staff.
Respond to trouble calls and direct emergency response within the defined Region and maintain customer relationships; Support trouble response initiatives by providing resources to assist in restoration efforts on a provincial basis.
Determine when additional staff must be drawn from the variable workforce to fulfill a work requirement.
Minimize the risk of exposure and injury to the public resulting from the undertaken work;

Maintaining a team of subordinates who are capable of producing the outputs required:
Ensure subordinates are able and willing to produce the desired outputs, and that subordinate Front Line Managers and Coordinators continually improve the processes for achieving outputs.
Assess staff capability to do the required work, now and in the future.
Ensure development of staff to maintain and improve skills.
Conduct personal effectiveness reviews of subordinate Customer Operation Managers and Coordinators to build relationships and trust, and to improve effectiveness.

Communicate expectations regarding the collateral relationship among subordinate Customer Operations Managers and Coordinators.

Essential Knowledge:

Selection Criteria:

Requires 8-10 years related experience with demonstrated progressive supervisory experience or equivalent.
Requires knowledge of electrical and mechanical theory.
Requires knowledge of business administration to develop and monitor the budget and to provide costing estimates and specifications on a variety of projects.
Requires a good knowledge of English for effective communication with staff and the preparation of reports.
Requires experience with all facets of the electrical and mechanical maintenance disciplines, building trades, different work methods, safety practices, etc., in order to apply theories into practice and to be familiar with common problems.
Requires experience to be familiar with techniques, technology, practices and procedures as well as inter-relationships with internal and external groups.
Requires experience to be familiar with the administrative aspects of the work involving the development of training programs planning, scheduling, and organizing of work and methods and the managerial and supervisory aspects of the job.

Reporting to the Sr Programs Process Specialist/Supervisor, the primary duties of the coop student in the Portfolio Reporting team will be to help the Portfolio & Financial Analysts support program & project managers by:

Updating and maintaining latest information for month-end portfolio reports
Develop and update reports using Excel (pivot tables)/Power BI and SAP as required
Compiling explanations for variance to budget
Updating project manager assignments in SAP
Data reconciliation, support and updating data in tracking systems and SAP
Requesting resources and creating reports for outstanding requests
Assist in User Acceptance Testing for system upgrade / reconfiguration of various software
Preparing reports on in-service additions, capital expenditures along with risks/opportunities
Assist in documenting data and actions/minutes during portfolio review meetings
