Assistant Corporate Secretary (Director‑Level)

Hydro One Limited is seeking an experienced governance professional to join the organization as Assistant Corporate Secretary, a Director‑level position. In this role, you will serve as a trusted advisor and key partner in supporting corporate governance and Board‑related matters for Hydro One.

The role includes leading subsidiary governance, supporting Board and Committee processes, coordinating director onboarding and education, and assisting with compliance with regulatory and disclosure requirements. You will also support the development and implementation of governance policies and practices that uphold transparency, accountability, and best‑in‑class standards.

Working closely with the Corporate Secretary, executive leadership, and the Board of Directors, you will partner in supporting governance frameworks that enable effective Board decision‑making and oversight.

Responsibilities:

  • Lead subsidiary governance and provide day‑to‑day leadership and guidance to corporate secretariat staff in respect of subsidiary board matters.
  • Uphold high standards of corporate governance and ensure compliance with applicable legal and regulatory requirements, including advising the Board on its duties and supporting effective implementation of decisions.
  • Oversee statutory, corporate, and securities filings (including SEDI, TSX, and annual returns) and ensure compliance with applicable requirements across all jurisdictions.
  • Ensure the maintenance of accurate and complete corporate records for the Company and its subsidiaries, working with business partners to ensure information is communicated, documented, and captured accurately.
  • Support Board and Committee processes, including meeting preparation, agendas, minutes, resolutions, and timely distribution of materials.
  • Ensure governance policies, Board mandates, and committee charters are current and periodically reviewed.
  • Serve as Assistant Corporate Secretary for relevant corporate entities, as required, and coordinate with internal and external counsel to ensure required approvals are obtained for corporate actions.
  • Support the Corporate Secretary in drafting and publication of the Management Information Circular, coordinating reviews for compliance with securities legislation and TSX requirements, and supporting the execution of the Annual General Meeting and any special shareholder meetings (virtual and in‑person).
  • Coordinate director onboarding, induction, and ongoing education and training programs.
  • Review and enhance governance and compliance processes to improve efficiency.
  • Monitor governance ratings and regulatory developments and prepare analysis and reporting on governance best practices.
  • Provide guidance, mentorship, and oversight to departmental law clerks and contribute to the development of consistent, best‑in‑class governance practices within the company secretariat function.
  • Support compliance with the Governance Agreement with the Province of Ontario.


Qualifications & Experience:

  • Bachelor’s degree in Law or a related discipline; equivalent professional experience in public‑company governance will be considered.
  • Proven executive presence, with demonstrable experience supporting Boards of Directors and executive leadership within a public‑company governance environment.
  • Minimum of 8 years of progressive experience in one or more of the following:
      • Corporate Secretary’s office of a publicly traded company
      • Legal department of a publicly traded company (securities or governance focus)
      • Corporate or securities law private practice with significant public‑issuer exposure
      • A combination of in‑house and private practice public‑issuer experience
  • Hands‑on experience with Canadian public‑company regulatory requirements, including TSX rules, SEDI filings, and related disclosure systems.
  • Strong knowledge of public‑company governance, securities law, and regulatory compliance.
  • Exceptional written and verbal communication skills.
  • Demonstrated judgment and advanced problem‑solving skills in managing complex and sensitive governance matters.
  • Proven ability to operate with a high degree of discretion in a Board‑ and executive‑level environment.
  • Strong attention to detail and a track record of delivering high‑quality work in regulated settings.
  • Prior experience supervising or mentoring within a legal or corporate governance function is an asset.
  • Advanced proficiency in Microsoft Outlook, Word, Excel, PowerPoint, and Adobe.
  • Demonstrated ability to manage competing priorities and meet deadlines while maintaining a high standard of quality and attention to detail.
  • Collaborative, service‑oriented professional with strong stakeholder‑management skills.

The base salary for this role considers a variety of factors, including candidates' knowledge, skills, experience, education, and any applicable collective agreement requirements for union-represented positions.
